Please read these terms carefully before using our services.
These General Terms and Conditions (hereinafter "GTC") govern the contractual relationship between Softwareentwicklung Sebastian Bleuel, owner Sebastian Bleuel, Ortesweg 10, 36145 Hofbieber, Deutschland (USt-IdNr.: DE370290830, e-mail: info@sebastian-bleuel.de, tel.: 015732599053, hereinafter "Provider") and its contractual partners (hereinafter "Customer") regarding the use of the web-based Software-as-a-Service application "FarmManager" (hereinafter "Service"). Contractual partners may be either consumers within the meaning of § 13 BGB or entrepreneurs within the meaning of § 14 BGB. Deviating, conflicting or supplementary general terms and conditions of the Customer shall not become part of the contract unless their validity has been expressly agreed in text form.
The Provider makes the Service "FarmManager" available to the Customer as Software-as-a-Service (SaaS) via the internet for self-administered use. The Service supports agricultural businesses in particular with the management of animals, herds, animal events, feedings, breeding records, treatments, vaccinations, lands, planting and use plans, machinery, contractor orders, income, expenses, financial reports, tasks, calendars as well as user, team, role and permission management.
The scope of functions results from the description of services valid at the time of conclusion of the contract and from the tariff selected by the Customer. The Provider is entitled to further develop the Service, to add, adapt or remove functions, insofar as this is reasonable for the Customer and the purpose of the contract is not materially impaired. Material restrictions of existing functions shall be communicated to the Customer in text form with reasonable advance notice; in such cases the Customer shall be entitled to an extraordinary right of termination effective as of the date the change takes effect.
The presentation of the Service on the website does not constitute a binding offer, but rather an invitation to the Customer to submit an offer. The contract is concluded when the Customer completes the registration process, confirms these GTC and the privacy policy, and the Provider accepts the registration by activating the customer account or by means of a confirmation e-mail. The Provider is not obliged to accept an offer from the Customer.
The Customer is obliged to provide truthful and complete information during registration and to update such information without undue delay in the event of changes. As a rule, only one customer account may be created per person or business. The contract text (GTC and order data) is not separately stored by the Provider for permanent access by the Customer; however, the Customer receives the contractual terms in text form during registration and may view, download and print these GTC at any time on the Provider's website. The contract language is German.
After successful registration, the Provider may grant a free trial period (currently four days from activation of the account) during which the Customer may test the Service with its full range of functions. No costs are incurred by the Customer during the trial period; the deposit of payment data is not required for this purpose. The trial period ends automatically and does not convert into a paid subscription. Access to the full range of functions after expiry of the trial period requires the conclusion of a paid subscription. The Provider reserves the right to adjust the duration, scope and conditions of the trial period for future contracts or to discontinue the trial period.
The Provider endeavours to ensure availability of the Service of 99% on an annual average, measured at the handover point to the internet of the hosting service provider commissioned by the Provider. Times of scheduled maintenance work, which the Provider performs outside of usual business hours where possible and announces in good time, as well as times during which the Service is unavailable due to force majeure, the fault of third parties, attacks on the IT infrastructure or other circumstances for which the Provider is not responsible, shall not be counted towards availability.
The Provider provides support by e-mail to info@sebastian-bleuel.de during usual business hours (Monday to Friday, excluding statutory public holidays at the Provider's registered office). A claim to specific response or recovery times exists only insofar as this is expressly regulated in the relevant tariff or in a separate agreement.
The Service offers an optional interface to the state animal database HI-Tier (Herkunftssicherungs- und Informationssystem für Tiere). Use takes place exclusively on the basis of the HI-Tier access credentials entered by the Customer and under the Customer's responsibility. The Provider processes the transmitted data exclusively for the purpose of query and notification operations vis-à-vis HI-Tier triggered by the Customer. The Customer remains responsible for ensuring that the notifications submitted to HI-Tier are complete, timely and substantively correct. The Provider assumes no warranty for the availability, correctness or up-to-dateness of the data provided by HI-Tier or for the operability of the HI-Tier interface. The same applies mutatis mutandis to other interfaces to third-party services offered within the Service.
The Provider grants the Customer, for the duration of the contract, a simple, non-exclusive, non-transferable and non-sublicensable right to use the Service for its intended purpose. Use is limited to the Customer's own business and to the number of user licences provided in the relevant tariff. The transfer of access to third parties outside the Customer's business, the provision of the Service to third parties whether for consideration or free of charge, as well as the modification, decompilation or reverse engineering of the Service, are inadmissible unless expressly permitted by law.
The Customer shall keep its access credentials (in particular passwords and access tokens) secret and protect them against access by unauthorised third parties. The Customer is responsible for all activities carried out under its customer account, unless the Customer is not responsible for the misuse. If unauthorised access is suspected, the Customer shall inform the Provider without undue delay and change its password.
The Customer undertakes not to use the Service in an abusive or unlawful manner and not to upload any content that violates applicable law, the rights of third parties or public morals. The Customer is solely responsible for the content and data it uploads to the Service, including compliance with copyright, data protection, tax, commercial and animal welfare regulations.
Insofar as the Customer processes personal data of third parties (e.g. employees, customers, contractors) in the Service, the Customer is the controller within the meaning of Art. 4 Nr. 7 DSGVO under data protection law and shall ensure a sufficient legal basis. The Provider acts in this respect as a processor within the meaning of Art. 28 DSGVO; upon request, the Provider shall conclude a data processing agreement with the Customer and, on request, provide a corresponding model agreement in text form.
The remuneration is determined by the subscription chosen by the Customer (e.g. Basic, Pro and, where applicable, additional user licences) and the selected billing period (monthly or annually). The prices displayed on the website at the time of the order shall be authoritative. Unless otherwise stated, all prices are in euros and – with respect to consumers – inclusive of statutory value added tax; with respect to entrepreneurs, prices are stated plus the applicable value added tax.
Payment is made in advance for the respective billing period via the payment service provider Stripe Payments Europe, Limited (Stripe), based in Ireland. The terms of use and privacy provisions of Stripe shall apply in addition. The Customer authorises the Provider or Stripe to collect the amounts due at the beginning of the relevant billing period via the deposited payment method (e.g. SEPA direct debit, credit card). An invoice shall be made available to the Customer in electronic form; the Customer expressly consents to receiving electronic invoices.
If the Customer is in default of payment, the Provider is entitled to demand statutory default interest and reminder costs and, after an unsuccessful payment request, to temporarily block access to the Service. The obligation to pay the remuneration shall remain unaffected by any blocking. The right to extraordinary termination for good cause remains reserved.
The Provider is entitled to adjust the prices for ongoing subscriptions with at least six weeks' prior notice in text form (e.g. by e-mail to the address on file) effective as of the start of a new billing period, for example to take account of increased costs for hosting, licences, personnel or statutory levies. If the Customer does not object to the price adjustment within four weeks after receipt of the notification in text form, the adjustment shall be deemed accepted; the Provider shall expressly draw the Customer's attention to this consequence in the notification. In the event of a timely objection, each contractual party shall be entitled to terminate the contractual relationship extraordinarily as of the effective date of the price adjustment.
The Provider performs regular technical data backups for the purpose of recovery in the event of disruption. These backups do not replace the Customer's own data backup. The Customer is obliged, on its own responsibility, to back up data uploaded to or generated within the Service at regular intervals outside the Service, in particular before any major data operation and before termination of the contract.
During the term of the contract, the Customer may retrieve the data it has entered via the export functions offered within the Service or request them from the Provider. After termination of the contract, the Provider shall make the data available to the Customer for export in a common format for a reasonable period, but at least 30 days. After expiry of this period, the Provider is entitled and – insofar as legally required – obliged to delete all of the Customer's data. Statutory retention obligations and obligations to preserve evidence remain unaffected.
The processing of personal data takes place in accordance with the General Data Protection Regulation (GDPR), the Bundesdatenschutzgesetz (BDSG) and other applicable data protection laws. Details on data processing, on the rights of data subjects and on the processors used (in particular hosting service providers, Stripe and the HI-Tier interface) can be found in our Privacy Policy .
The contract is concluded for an indefinite period. Minimum terms and notice periods result from the subscription chosen by the Customer: with monthly billing, the subscription may be terminated at any time effective at the end of the current billing period; with annual billing, with one month's notice effective at the end of the relevant contractual year. If the subscription is not terminated in due time, it shall be extended for an indefinite period and may then be terminated at any time with one month's notice.
Termination may be effected at any time via the corresponding function in the account settings of the Service or by e-mail to info@sebastian-bleuel.de. Consumers shall additionally be provided with a termination option pursuant to § 312k BGB ("Kündigungsschaltfläche" / termination button) in a directly and easily accessible form on the Provider's website. Terminations declared via the termination button shall be confirmed to the Customer in text form without undue delay; therein the Provider shall communicate the time of receipt of the termination as well as the time at which the contractual relationship will end.
The right of both contractual parties to extraordinary termination for good cause remains unaffected. Good cause exists for the Provider in particular if the Customer is in default of payment of more than two consecutive billing periods, materially or repeatedly breaches essential contractual obligations, uses the Service unlawfully or attempts to manipulate it or to impair the security of the Service. In such cases, the Provider may temporarily suspend access to the Service in whole or in part; final suspension shall take place only after prior warning in text form and the setting of a reasonable cure period, unless such warning is exceptionally dispensable.
Consumers (§ 13 BGB) shall have a statutory right of withdrawal in accordance with the following withdrawal instructions. Entrepreneurs (§ 14 BGB) shall not have a right of withdrawal.
Instructions on withdrawal: You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period will expire after 14 days from the day of the conclusion of the contract.
To exercise the right of withdrawal, you must inform us (Softwareentwicklung Sebastian Bleuel, owner Sebastian Bleuel, Ortesweg 10, 36145 Hofbieber, Deutschland, e-mail: info@sebastian-bleuel.de, telephone: 015732599053) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or e-mail). You may use the attached model withdrawal form, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal: If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
Premature expiry of the right of withdrawal and compensation for value: If you requested that the provision of services should begin during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated us your withdrawal from this contract, in comparison with the full coverage of the contract. Your right of withdrawal shall expire prematurely if we have fully performed the service and have begun performance only after you gave your express consent and at the same time confirmed your knowledge that you would lose your right of withdrawal upon full performance of the contract by us.
(Complete and return this form only if you wish to withdraw from the contract.)

The Provider warrants that the Service substantially corresponds to the applicable description of services during the contract term. The Customer's rights in case of defects are governed by the statutory provisions, unless otherwise regulated in these GTC. An insignificant impairment of suitability for contractual use does not give rise to claims for defects. Strict liability claims for damages on account of initial defects within the meaning of § 536a Abs. 1 Alt. 1 BGB are excluded to the extent legally permissible.
The Provider shall be liable without limitation for damages arising from injury to life, limb or health based on a negligent or intentional breach of duty, as well as for other damages based on intentional or grossly negligent conduct, and pursuant to the provisions of the German Product Liability Act and within the scope of any guarantee assumed.
In the event of a slightly negligent breach of material contractual obligations (cardinal obligations) the fulfilment of which makes the proper performance of the contract possible in the first place and on whose compliance the Customer may regularly rely, liability shall be limited in amount to damages typical for the contract and foreseeable. Any further liability for slight negligence is excluded.
For the loss of data, the Provider shall be liable in accordance with the foregoing paragraphs only to the extent that such loss would also have occurred had the Customer carried out a proper, regular data backup appropriate to the risk. Liability for indirect damages, loss of profit and savings not realised is excluded within the scope of slight negligence.
To the extent that a contractual party is prevented from fulfilling its contractual obligations for reasons of force majeure, it shall be released from its performance obligations for the duration of the impediment plus a reasonable start-up period without becoming liable for damages as a result. Force majeure shall be deemed to include, in particular, natural disasters, war, terrorism, pandemics, strikes, official orders, large-scale failures of telecommunications or power grids, and cyber-attacks which could not have been averted by security measures reasonable for the contractual party. The affected contractual party shall inform the other party without undue delay of the occurrence and end of an event of force majeure.
All rights to the Service, including copyrights, trademark rights, database rights and other property rights, remain with the Provider or the respective rights holders. The Provider does not acquire any rights to the data and content uploaded by the Customer to the Service; however, the Customer grants the Provider the simple rights of use necessary for the provision of the Service (in particular for storage, processing, backup and reproduction) for the duration of the contract. The logo, the name "FarmManager" and the brand "Softwareentwicklung Sebastian Bleuel" may not be used without prior written consent.
The contractual parties undertake to treat as confidential all confidential information of the other party that becomes known to them in connection with the performance of the contract and to use it only for purposes related to the contract. This obligation shall continue for a period of three years after termination of the contract. Excluded are information that is obvious, that was lawfully known to the receiving party from another source, or that must be disclosed pursuant to a statutory or official order.
The Provider reserves the right to amend these GTC with effect for the future, insofar as this is necessary due to changes in statutory requirements or supreme court rulings, technical developments, security-relevant requirements, adjustments to the scope of services or to remedy regulatory gaps, and provided that the Customer is not unreasonably disadvantaged thereby.
The Customer shall be informed of changes in text form to the e-mail address on file at least six weeks before the planned entry into force. If the Customer does not object to the changes within six weeks of receipt of the notification in text form, the changes shall be deemed approved; the Provider shall expressly draw the Customer's attention to this consequence and to the right of objection in the notification of the changes. In the event of a timely objection, each contractual party shall be entitled to terminate the contractual relationship extraordinarily as of the effective date of the change.
The platform for online dispute resolution (ODR platform) operated by the European Commission was discontinued on 20 July 2025; there is therefore no longer any obligation to provide a link to this platform. For any questions, concerns or complaints, you may contact us directly at any time: info@sebastian-bleuel.de.
Notice pursuant to § 36 Verbraucherstreitbeilegungsgesetz (VSBG): The Provider is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
The law of the Federal Republic of Germany shall apply, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. In the case of contracts with consumers who have their habitual residence in another Member State of the European Union, mandatory consumer protection provisions of the respective state of residence shall remain unaffected.
If the Customer is a merchant within the meaning of the German Commercial Code, a legal entity under public law or a special fund under public law, the registered office of the Provider shall be the exclusive place of jurisdiction for all disputes arising from or in connection with this contract. The Provider is also entitled to sue the Customer at its general place of jurisdiction.
Should individual provisions of these GTC be or become invalid in whole or in part, or contain a regulatory gap, the validity of the remaining provisions shall not be affected thereby. The statutory provisions shall take the place of the invalid provision. There are no oral side agreements; amendments or supplements to these GTC require text form; this also applies to the modification of this text form clause.
